SEB will, as an integral component of the Composite Scheme, undertake the following corporate exercises on or before the Effective Date:
(i) a proposed share capital reduction exercise, which will entail an application to the High Court of Malaya under section 116 of the Companies Act for the writing-off of the following items which are lost or unrepresented by the available assets against the accumulated losses of the Sapura Group:
1) the writing-off of RM[xx] of the share capital; and
2) the writing-off of RM[xx] of Reserves, where applicable.
(ii) the proposed share consolidation of every 20 existing ordinary shares of SEB into 1 consolidated ordinary share of SEB;
(iii) the proposed reduction of the conversion ratio of the RCPS-i from 1 RCPS-i to 1 ordinary share of SEB to 1 RCPS-i to 0.4 ordinary shares of SEB.
(iv) the proposed settlement by SEB of a portion of the Outstanding Liabilities of the MCF Obligors amounting to approximately RM500.0 million by way of the issuance of 500,000,000 new ordinary shares in SEB at the issue price of RM1.00 per share;
(v) the proposed settlement of a portion of the Outstanding Liabilities of the MCF Obligors amounting to approximately RM0.6 billion by way of the issuance of 500,000,000 new SEB ICUIDS-I at an issue price of RM1.20 per SEB ICUIDS-I;
(vi) the proposed settlement of a portion of the Outstanding Liabilities of the MCF Obligors amounting to approximately RM0.4 billion by way of the issuance of 250,000,000 new SEB ICUIDS-II at an issue price of RM1.60 per SEB ICUIDS-II;

i think SAP supporters already now asking government intervention ASAP as they circulating video on tik tok and Your Tube. Anwar need to be very careful on this as SAP hold many bumi contractor, Bumi employee and some people will start using this as political weapon as state election in 5 states are very near soon. With declining Malay support towards PH, PMX need to tackle this issue wisely.

Court granting the RO extended another 3 months until 8th June 2023 is for Fairness, compassion, understanding and an opportunity. But why wasn't it extended another 6 months as before??? You may assume that this would be Strike Three and that's it.

As the days creep closer to Doomsday, these investors whom are buying now (not the left hand to right hand play) would be pissing their pants once the Big boys pull the rug from under. All Hell breaks loose and havoc ensues, running for cover and Exit doors (also sealed without Buyers)

Sapura Energy - Another Round of Impairment

Sapura Energy 4QFY23 headline loss of RM3.3bn was impacted by non-core items including (i) forex loss of RM396mn, (ii) impairment of goodwill of RM1.46bn and (iii) impairment on PPE of RM1.16bn. Excluding these items, core loss was lower by 76% YoY at RM286mn driven by higher revenue across all business segments (Table 2). On QoQ basis, core loss rose by 91% however. This was due to its share of loss from SapuraOMV of RM333mn which also arises due to asset impairment.

Orderbook fell further to RM5.6bn (3Q23: RM6.8bn) as the company struggled to replenish its orderbook in Engineering and Construction (E&C) segment due to unavailability of bank guarantee. Currently, the company has unrestricted cash balance of RM700mn which will be available for new project tender that is worth RM21.2bn.

Maintain a BUY call on Sapura Energy but with a lower TP of RM0.08 (from RM0.12). We expect a favourable outcome from its proposed restructuring plan, leveraging on the upcycle in O&G offshore projects. Key risk to our call and TP is potential dilution from debt restructuring plan.
