1. "Following the further easing of operating restrictions since April 2021, RWC’s total gross
gaming revenues in 2Q21 were at 95% of 2Q19 levels. More notably, Empire had a
successful turnaround in the business and achieved positive earnings before interest, tax,
depreciation and amortisation (“EBITDA”) of USD3.5 million in 2Q21."

Note: Empire was already EBITDA positive in 2Q21


2. "Assuming full conversion into Common Stock of the currently outstanding 1,510 shares of
Series F held by KH (convertible into 7.55 million Common Stock at a price of USD20 per
Common Stock), 400 shares of Series G held by GER II (convertible into 2 million Common
Stock at a price of USD20 per Common Stock), GENM’s effective shareholding in Common
Stock is approximately 44%. Including the full conversion of the existing 1,700 shares of
Series L and the Proposed Equity Injection (1,500 new Series L) held by GER II at the earliest
in FY2030 (convertible into in aggregate 32 million Common Stock at a price of USD10 per
Common Stock), GENM’s effective shareholding in Common Stock will be approximately
66% in FY2030.

With this Proposed Equity Injection, GENM would have invested a total of up to USD524.4
million in Empire. KH’s total investment to-date, through common equity, preferred equity and
an unsecured loan, is approximately USD525 million."

Note: Including the conversion above, total investment of GENM would be about USD884.4mil* for a 66% stake in Empire in FY2030
* 524.4mil + 2mil x USD20 + 32mil x USD10


3. "In addition to RWC’s strong financial performance, Empire’s future growth and prospects are
enhanced by:-

(i) Orange County video gaming machine (“VGM”) opportunity which involves developing and operating a VGM facility at 90,000 square feet space previously housing the Newburgh Mall, Orange County. The VGM facility, to be named Resorts World Hudson Valley, will feature approximately 1,300 VGMs, a bar and a lounge and is expected to be completed in 2H22; and

(ii) the mobile sports betting opportunity in New York State, to which Empire has submitted a bid for in August 2021, as part of a consortium known as Sports Information Services Ltd, doing business under the name of “Kambi”. The Kambi consortium includes Caesars Sportsbook, PointsBet, Rush Street Interactive, WynnBet, which are well-known in the gaming industry. The outcome of the bid is expected to be announced by end-2021."

Note: The injection is for a) Newburgh Mall VGM development and b) New York State mobile sports betting bid. Mobile sports betting is a game-changer (see: Draftkings; Penn Gaming)

Very early days in the share price recovery don’t forget NTA is 8.47, usually when prospects are good and recovery is well established share prices will trade above NTA. It is matter of time mean while small profit takers by day traders and investors using algo trading to buy and sell small lots…investors need to remain put and add more shares as recovery takes hold. Genting a highly leveraged play and coming out of CV will give it much impetus. My pennies worth for the day!
