CapitalA Bhd, present has 4,124B, Outstanding shares, from around 3.4B, before COVID.
Next few years, all its #65%, Convertible Rights, Bonds, PPs, Sukuks, are covered into Equity/Shares.
CapitalA Bhd, dilution of shares will be around 7/8Bm Outstanding Shares.
If there are redeemed earlier, by CapitalA, n pay less interest payments. Then dilution will be lesser.
Convertible Rights/Bonds are quite complicated to understand as years of interest payments, rates, conversions n redeemed by company.
CapitalA, Sir Tony, Fernandes n his management team, really try their very best, to make AA Great Again 🙏

'Just Do It'!

Budget carrier AirAsia, a part of the Capital A Bhd group, is seeking a US$400m (RM1.8bn) loan, half of it from private credit funds, to refinance debt, according to people familiar with the matter. The loan will be in the form of a revenue bond, with investors to be paid out of ticket sales from ten AirAsia flight routes, the people said, declining to be identified because the matter is private. A representative of the company declined to comment. Capital A is no stranger to private credit. An engineering and maintenance subsidiary Asia Digital Engineering in April secured a US$100m investment from private-credit provider OCP Asia Ltd, according to a statement at the time. (The Edge)

Oct 12): Budget carrier AirAsia, a part of the Capital A Bhd group, is seeking a US$400 million (RM1.8 billion) loan, half of it from private credit funds, to refinance debt.

KUALA LUMPUR: Tuesday, 03 Oct 2023
AirAsia Bhd has accepted a five-year term loan of up to US$150 million (RM705 million) from a financial institution.
In a filing with Bursa Malaysia today, Capital A Bhd, the parent company of AirAsia, said the airline will use the loan for working capital requirements and fund aircrafts and engine maintenance costs.

geary,
Do you still believe quote," All debts are covered by Cash Flow" unquote?

As at 30/6/2023
Beside taking in sales in advance: RM 2,024,943,000 still need USD150 million term loan for working capital and now another USD 400 million to refinance debt.

Singapore Airlines: Recapitalization Exercise
Timothy Ang | 27 Mar 2020 | 82 views

Singapore Airline’s rescue plan is revealed in a recapitalization exercise. Temasek, which owns 55.5% of the national carrier, is the underwriter of the program. Below are some highlights:

A S$8.8bn Fundraising exercise
S$5.3bn equity rights issue. Shareholders will receive 3 Rights shares for every 2 existing shares at an issue price of S$3 (c.53.8% discount to the last traded price). This amounts up to 1,777,692,487 new Rights shares to be issued.

S$3.5bn Mandatory Convertible Bond Issue. Shareholders will receive 295 Rights Mandatory Convertible Bonds (MCB) for every 100 existing shares, with the option to subscribe at $1 per MCB. The Convertible Bonds are proposed to have a 10-year maturity with zero coupon and an initial conversion price of S$4.84. At the maturity date, every S$1,000 worth of MCB will be worth S$1,806.11, and will be converted to shares at the conversion price of S$4.84 per share.

The problems with capA is because Stony do not have money to recapitalise capA.
Quote from geary, "The only PN17, criteria is Negative Equity, that will be solved sooner or later."
Sooner or later Bursa will tell capA enough is enough and proceed to suspend and delist capA.

SSlee any comment on teleport , santan or ADE , GTR , bigpay , ride , superapp ?

Teleport segmental revenue of RM167 mil, up 69% YoY (1H23 already achieved 68% of FY22 revenue).
● Driven by growth from existing and onboarding of new customers, reactivation of AirAsia fleet, and additional capacity from third party airlines allowing expansion into new lanes beyond AirAsia’s network.
● Significant leap for EBITDA to RM9.2 mil, from a loss of RM25 mil in prior year.

Superapp segmental revenue of RM170 mil (1H23 already achieved 82% of FY22 revenue).
● Highest quarterly EBITDA of RM40 mil, tremendous improvement from RM0.9 million in 2Q22 - improved revenue and lean cost structure.

BigPay segmental revenue of RM11 mil, up 53% YoY - due to healthy take-up rate across all products group.
● EBITDA loss narrowed by 65% YoY - due to 16% staff cost savings through reallocation of manpower to more cost effective regions (MY, TH) and one-off RM13mil - prior year audit adjustment from reversal of
bonus accruals.

ADE segmental revenue of RM138 mil, up 83% YoY (1H23 already achieved 84% of FY22 revenue)
● Thriving aviation industry and complemented by the increased hangar capacity resulting from the
additional two lines in Senai.
● EBITDA of RM36.8 mil or 27% margin.

Santan segmental revenue of RM26 mil, with an EBITDA of RM2mil.
● Driven by improved inflight products demand in tandem with increase of flight frequencies and
passenger traffic.

How much of these EBITDA will be translated into net profit?

SSLee, I help you to post this one, because it may sounds not a negative news for you. Off course your chat mate, as before would like to twist it as bad news.

https://www.thestar.com.my/business/business-news/2023/08/31/capital-a...

1H23 core net loss narrowed significantly year-on-year to RM112mil, underpinned by the strong recovery in air travel.

Kenanga Research projected Capital A to post a net profit of RM201mil in FY23 and RM229 in FY24.

TA Research said it is optimistic about Capital A’s 2H23 outlook with stronger fare and greater demand, particularly from China and India.

“The group is confident of achieving the consensus forecast for FY23, which is RM242mil in net profit. However, its digital segment is expected to remain loss making,” Kenanga Research said.

So what can a net profit of RM201mil in FY23 and RM229 in FY24 do to capital and reserves below?

As at 30/6/2023: As at 31/12/2022
RM ‘000: RM’000
Capital and reserves:
Share capital: 8,659,652: 8,654,977
Merger deficit: (5,507,594): (5,507,594)
Other reserves: 266,894: 204,020
Foreign exchange reserve: (1,657,962): (153,308)
Accumulated losses: (10,151,810): (8,923,188)
Equity:
Shareholders’ equity: (8,390,820): (5,725,093)
Non-controlling interest: (1,813,867): (3,791,865)
Total equity: (10,204,687): (9,516,958)

Can a mere net profit of RM201mil in FY23 and RM229 in FY24 uplift capA from PN17?

If MyAirline last straw that broken the camel's back is due to delays in finalising the sale of shares to investors, and the weakening value of the ringgit against the US dollar and most of MyAirline’s transactions are in USD, including aircraft leasing and fuel costs, which have seen an increase from US$113 a barrel to US$131 a barrel.”

Then how about capA?

PETALING JAYA: The government has shot down any chance of bailing out MYAirline after it ceased operations last week due to financial constraints.

“The bailout days are over. You know what I mean. You (companies) have to resolve customer (related) issues (on your own),” deputy transport minister Hasbi Habibollah said during the Special Chamber session at the Dewan Rakyat.

He was responding to Lim Lip Eng (PH-Kepong) who wanted the government’s assurance that Putrajaya would not come to the budget airline’s rescue.

Hasbi said the companny was facing several challenges, including delays in finalising the sale of shares to investors, and the weakening value of the ringgit against the US dollar.

“Most of MyAirline’s transactions are in USD, including aircraft leasing and fuel costs, which have seen an increase from US$113 a barrel to US$131 a barrel.”
