KUALA LUMPUR: Serba Dinamik Holdings Bhd says it is committed to fulfilling the coupon payment for its US$222 million sukuk.

The company, in a filing to Bursa Malaysia, clarified that the coupon payment due on November 9 this year was about US$7.0 million and not US$9.45 million reported by a business portal.

"Serba Dinamik has engaged and sought advice from our legal counsel as well as wrote to the sukuk agent to notify the sukuk holders on the correct amount due," it said.

Serba Dinamik said under the terms of agreement, the company has a 30-day period from the non-payment due date to cure and pay the overdue coupon obligations before triggering any dissolution event (event of default).

"We are also proactively engaging all stakeholders to provide timely updates and clarifications as and when required," Serba Dinamik added.

Serba Dinamik extends its guarantee that it has no intention to default on the coupon payment and is taking all necessary steps to remedy the matter within the stipulated timeline.

Meanwhile, Malaysian Rating Corp Bhd (MARC) said the missed coupon payment signified liquidity stress faced by Serba Dinamik.

On this basis, MARC views that Serba Dinamik's ability to meet its financial obligations will continue to be strained.

Accordingly, the rating agency removed the ratings of Serba Dinamik's Islamic Commercial Papers and Islamic Medium-Term Notes Programme (ICP/IMTN) programmes from MARCWatch Negative and downgraded the ratings to MARC-4IS/BBIS.

"The outlook on the IMTN programme is negative. MARC will reassess the ratings upon a review of the statutory audited accounts, which will be issued by the extended deadline of November 30, 2021 and other relevant findings," it said.

MARC said the concern on the protracted delay to resolve Serba Dinamik's audit issues had now been compounded by the missed semi-annual coupon payment on the outstanding US$222 million senior sukuk issued by its wholly-owned indirect subsidiary, SD International Sukuk Ltd.

"The coupon payment became due on November 9, 2021. MARC has been informed by the issuer that it is seeking to make good on the payment within the 30-day grace period before an event of default is declared.

"Nonetheless, in light of this development, the rating agency notes that a cross default could be triggered on the borrowings under the ICP/IMTN programmes under which the outstanding of RM100 million ICPs is due in May 2022," it added.

Based on what I know, refinancing bonds can be a good solution if cannot meet bond payments on final maturity date.
This is why I worry if USD 300 million can be settled by May 2022….when refinancing is adversely affected by the downgraded bond ratings.

For civil cases, the relevant legislation is the Defamation Act 1957.

Criminal defamation is covered by Chapter XXI (Sections 499 to 502) of the Penal Code. You are probably referring to criminal defamation for the need to wash backside after losing in 3 stages (Sessions Court, High Court & Court of Appeal) or 4 stages (HIgh Court, Court of Appeal, Leave Application to Federal Court & Federal Court).

These are the typical defences to defamation:

Justification – This means the statements made were actually true. For example, if A was really a convicted criminal, a statement that A was convicted of a criminal offence, is not defamatory.

Absolute Privilege – Where a situation or person is covered by absolute privilege, they cannot be sued for statements made even if they are defamatory. An example would be “a fair and accurate and contemporaneous report of proceedings” in court, as well as the “judgment, sentence or finding of such court”.

Qualified Privilege – This covers situations where the maker of the statement has a legal or moral duty to make the statement, or where the statement is made to further a legitimate common interest. For example, it may be qualified privilege for a former employer to communicate information about the character of a former employee, to that individual’s future employer (if he is asked for a reference). That being said, the defence of qualified privilege can be defeated if the claimant can show that the maker of the statement was motivated by malice.

The Media Defences -The defences of Reynolds’ Privilege (commonly referred to as responsible journalism) and Neutral Reportage, although known as the media defences, are not strictly available to media defendants only. They are in fact available to anyone who publishes contents on matters of public interest. To succeed in establishing Reynold’s Privilege as a defence, two requirements must be satisfied:
- The publication must be on a matter of public interest; and
- The steps taken to gather, verify and publish the information must be responsible and fair (ie. responsible journalism).

Just to add on Sime Darby, beside what you said Mabel's motivation to go for Sime Darby is because of the Medical Centres. WE have been using their Medical Centres for for many years.

So instead of just being a consumers, might as well take the ownership of this company. Proud to be shareholders of this growing company.

Another motivation is Sime Darby has the distribution for German cars like BMW and Porsche which complimentary to Mabel collection for Cycle and Carriage and DRB Hicom the distributor for Mabel's favourite Mercedes Benz...

Why not go for Mercedes Benz?

Last night Lewis Hamilton won the Brazilian Grand Prix at Interlagos in Sao Paulo, storming through the field from 10th and passing title rival Max Verstappen for the lead with 12 laps to go.

This is Hamilton's best ever race. It's like Hamilton has a spaceship or something. Mercedes not only perform well in managing business, the also produces amazing W12 which is such a fast car. Without all the disqualification to a penalty grid, Lewis would have won the race minutes ahead of others. You can watch last night race on Youtube.

However, I would like to share this video how Lewis and Mercedes worked together when he was stripped of his P1 for the F1 Sprint due to a technical infringement found on his Mercedes W12. This disqualification gave Max Verstappen the Pole advantage. Being a fighter, Lewis Hamilton shrugs off his shortcomings and work his way up from P20 at the back of the Grid with his team for Damaged Control.

The result: Mercedes wins the Brazilian Race and is on target to win 2021 F1 Championship with 3 more races to go.

SD need to raise ~ RM1.5b to re-finance huge debts due in May 2022 and not forgetting the envisaged negative cashflow over the next 6 months. Is it possible with the “C” classifications from rating agencies ?
