PETALING JAYA: The National Union of Flight Attendants Malaysia (Nufam) has urged the federal government to be transparent about any proposals to take over troubled Malaysia Airlines.
The union said the employees of the debt-laden national carrier deserved to know about any takeover plans first-hand and should not be “ambushed” by news coming from third parties.
It urged to government to name those interested in taking over the airline and also warned against a takeover by AirAsia X Bhd, saying the two companies were “time bombs” because of their financial constraints and losses.
It also urged AirAsia Group to come clean on any plans to merge with Malaysia Airlines and said a takeover would only benefit AirAsia by moving assets and cutting losses.
Nufam said a fair and open bidding process was crucial to safeguarding the carrier’s future, and complained about the secrecy behind the takeover plans.
“Each time we ask about the progress of Malaysia Airlines Berhad, all seems too silent but deals are already happening behind quietly. Why so secret?,” the union said in a statement.
“There is a need to be honest about these plans since MAB is of national interest,” it said.
The government has been seeking a strategic partner for Malaysia Airlines, which is still to recover from the disappearance of flight MH370 and the shooting down of flight MH17 over eastern Ukraine, both of which took place in 2014.
The airline was taken private by sovereign wealth fund Khazanah Nasional Bhd in 2014, and has been struggling to post a profit.
The Nufam warning against AirAsia comes on the heels of a news report today speculating that the company was in the lead to take over Malaysia Airlines.

Nufam said a deal with AirAsia “is perhaps to take over the existing Malaysia Airlines international routes and its assets. But what will happen to the crew, pilots, engineers and those working for these long haul operations?”
Nufam said none of its officials had been consulted on proposals for any mergers or takeovers, adding that the airline’s current situation was also a result of the government’s failure to consult the union in the past.
Before the new year, Putrajaya was reported to have shot down an attempt by “a high-profile conglomerate” to take over Malaysia Airlines.
Sources had told FMT about a “highly questionable” proposal which was put forth to Khazanah Nasional, to merge Malaysia Airlines with another airline.
They said the proposal had incensed top guns at the national carrier as it was aimed at stripping the national carrier of its assets and killing it instead of making it profitable.
Earlier today, Prime Minister Dr Mahathir Mohamad said Putrajaya received five proposals for Malaysia Airlines, adding that some were a “no go”.
“We need to listen to everybody to find out what is the best solution.”
Khazanah’s Malaysia Aviation Group fully owns Malaysia Airlines, which has reported billions of dollars in losses over the last five years.
Since taking over, Khazanah has implemented controversial shake-ups that saw thousands of people losing their jobs and the resignations of two foreign CEOs.

KUALA LUMPUR, Jan 20 — Low-cost carrier AirAsia Group Berhad (AAGB) and Japan Airlines Co Ltd (JAL) appear to be the frontrunners for the future plans for ailing airline Malaysia Airlines Berhad (MAB), a report said today.
Citing an official document it sighted, business publication FocusM said the document contains details on proposals involving four different shortlisted entities, namely AAGB, JAL, Air France-KLM SA and Malindo Airways Sdn Bhd.
FocusM reported that Khazanah Nasional Bhd had gone through four proposals to identify a partner for MAB’s parent company Malaysia Aviation Group Bhd (MAGB).
According to the FocusM report, Khazanah Nasional Bhd’s management “has been pushing” for a merger involving MAB, AAGB and the latter’s long-haul carrier unit AirAsia X (AAX) to steer MAB towards financial sustainability.
According to Focus M, the merger proposal to turn the three companies into a listed entity would see Khazanah Nasional turning into a minority shareholder, with Khazanah believing this could result in an Asean champion.
While the merger proposal was seen as an opportunity to resolve overcapacity issues in the market and to get economies of scale, Khazanah Nasional admitted that this idea appeared “commercially viable” but had the “highest execution risk”.
FocusM said AAGB had under this proposal asked for Khazanah Nasional to give up its golden share if AAGB and AAX buy over MAB.
The JAL proposal involves the pumping in of RM1.12 billion in exchange for a 25 per cent stake and KLIA as a proposed hub for JAL, with Khazanah Nasional to remain the major shareholder and the government to retain its golden share, the report said.
FocusM said that Khazanah Nasional is expected to make a decision on a strategic investor by this April, and with definitive agreements expected to be executed by this June.
Earlier today, Prime Minister Tun Dr Mahathir Mohamad was reported saying that about five proposals had been received for Malaysia Airlines, but said some of these proposals were not feasible.

AA wants MAB. However, corrupt politicians and corrupt board and union will kill this deal. These corrupt people will rather see Khazanah bailing out MAB continunously, year after year!

KUALA LUMPUR/SINGAPORE (Jan 21): Proposals to invest in ailing Malaysia Airlines include one from Air France-KLM which wants as much as 49% while Japan Airlines is looking at a 25% stake, sources with knowledge of the matter said.

Domestic carrier AirAsia Group Bhd and Malindo Air, the Malaysian arm of Indonesia's Lion Air, have also submitted proposals, the sources said.

"The bids from the foreign carriers are more comprehensive and strategic as both plan to capitalise on the strategic location of Malaysia for their operations," said one of the sources.

The Malaysian government has been seeking a strategic partner for its national airline, which has struggled to recover from two tragedies — the mysterious disappearance of flight MH370 and the shooting down of flight MH17 over eastern Ukraine.

In 2014, it was taken private by sovereign wealth fund Khazanah Nasional Bhd, which paid RM1.4 billion (US$345 million) for the 30% of shares it did not already own.

The sources declined to be identified as the discussions are confidential. Representatives for Air France-KLM, Japan Airlines (JAL), AirAsia and Malindo did not immediately respond to requests for comment.

Malaysian Prime Minister Tun Dr Mahathir Mohamad said on Monday five proposals had been received as part of a review that started last year but declined to name the suitors.

Malaysia Airlines last year signed a joint venture agreement with JAL covering flights between Malaysia and Japan, which the Japanese airline said could be expanded in the future to cover US flights.

Malaysia Airlines and JAL are both members of the oneworld airline alliance, while Air France-KLM is part of the rival SkyTeam alliance.

Khazanah, which appointed Morgan Stanley last year to advise on potential options for the airline, said it was working closely with the government.

"While there have been several proposals in this regard, a review of the options available to us is still ongoing," Khazanah said in a statement.

Sources said Air France-KLM had proposed setting up a hub for maintenance, repair and overhaul services in Malaysia, while Japan Airlines had offered to make the Southeast Asian country its regional hub, including for low-cost flights.

Business news website Focus Malaysia said on Monday, citing an official document, that Khazanah had been pushing for AirAsia's long haul unit AirAsia X to merge with Malaysia Airlines.

"An international solution is probably better in this situation as AirAsia would have competition concerns," one of the sources said.

"This is still a work in progress but the story is around the potential for a massive hub in Southeast Asia and it's clear that international airlines see value in Malaysia Airlines because of this," the source said.

DUBLIN (Jan 21): Air France-KLM said on Tuesday that it had previously held talks with the owners of Malaysia Airlines but was not engaged in current efforts to find new investors for the carrier.

"Air France-KLM continues to study global investment opportunities per its strategic goal to be an active yet pragmatic participant in industry consolidation, as presented at its Investors Day in November 2019," the Franco-Dutch airline group said.

"Air France-KLM had previously been in contact with Malaysia Airlines' shareholders, but at this stage, Air France-KLM is not a current party to the sales process of Malaysia Airlines."
