Serba Dinamik: Bursa rejects second request for extension to issue FY20 annual report. Bursa Malaysia has rejected Serba Dinamik Holdings's second request for an extension of time to issue its annual report for the FYE 30 June, 2021. Serba Dinamik shares have been suspended since Oct 22 and were last traded at 35 sen, giving the company a market capitalisation of RM1.3bn. (The Edge)

Serba Dinamik Holdings Berhad - Ceasing Coverage

Shares of Serba Dinamik (Serba) have been suspended since October 22, of which Bursa Securities cited paragraph 16.02(1)(c) of the Main Market Listing Requirements in the interest of maintaining an orderly and fair market in the trading of the company’s securities. This came as a result of a directive by the regulator to disclose findings of the Special Independent Review pursuant to Paragraph 2.23(1) of the Main Market Listing Requirements, which Serba declined to do, contending that Ernst & Young Consulting Sdn. Bhd. is still in the midst of performing the Special Independent Review. Subsequent to this, Serba has missed coupon payments for its USD300m coupon, though the company has indicated that it will make good the payments within the 1-month grace period under the terms of agreement. Meanwhile, Serba’s Chairman and an independent director have just resigned, citing that Bursa’s most recent stipulations had stopped them from fairly discharging their duties. Bursa had, on November 22, announced that it was seeking a court order to compel Serba to disclose updates on the findings of the special independent review.

Given the heightened uncertainties as a result of these issues – accounting related queries, legal challenges with auditors (both KPMG and EY) and the regulator – we are unable to appropriately assess the prospects of the Group in the near to medium term. With earnings visibility likely to be limited and given the need to re-deploy our resources internally, we are ceasing coverage on Serba.

Our last call is Neutral with a target price of RM0.31 based on a 0.3x multiple to its FY21 book value of RM1.05. Earnings estimates should no longer be relied on as basis of investment decisions.

Latest on Serba is Dato Karim is Selling 4.6% stake in KPower at below market price for RM10.38m is always a Good News from Mabel's view. It means, our CEO now has more ammunition to pump into Serba Dinamik...

Very Happy that he also sold all his WA Warrants. This means less competition to Mabel's Very Virgin and Untouched 2019 Free Warrants...

Moving forward Mabel see Two Scenarios...

1. If the report is half baked, Panic Investors will sell and consequently drives the price down.
2. If the report is fully baked, Many Investors will buy and consequently push the price up..

Just think for a minute, if you are sitting in Karim seat, what would you do?

What Serba needs is time so Mabel is willing to wait. No issues as Mabel is looking at Scenario 2.
Either ways, Mabel's exposures is a Profitable FOC Mother Shares and Virgin Untouched 2019 Free Warrants which is not too heavy to hold since the expiry date is still long way to go..

First quarter 2022 earnings: EPS and revenues exceed analyst expectations

First quarter 2022 results:
EPS: RM0.41 (up from RM0.28 in 1Q 2021).
Revenue: RM584.5m (up 33% from 1Q 2021).

There is nothing wrong with the following @statement but if the irregularities are detected during the conduct of statutory auditors,its the onus of the auditors to disclose the material facts unless SD could prove otherwise.

Where such facts can not be disproved,SD should not then resort to authoritarianism to suit its agenda by hassling the auditors etc etc as if they did not want to leave any stone unturned.

The question of adequate time to be given to the auditors to perform their statutory obligations without interference and time constraints to ensure audit works can be conducted effectively and sufficiently is just a lame excuse.
