No knowledge of corporate audit workings yet talk and talk and talk.

External auditors work for shareholders. They DONT work for management.

1) Auditors play a role in prevention and detection of fraud
2) The external auditors do not report to senior management
3) External auditors line of reporting is to the audit committee, the majority of whom are independent directors as per SD INED team.

Prudentinv The most unusual thing happen is that auditor reporting direct to independent directors. Here there are obvious 2 fractions.

@Prudentinv, There's no problem for auditor to report directly to independent director if they found serious accounting issue. The independent director is suppose to be the check and balance role in corporate governance, overseeing the managing directors and ensure the directors are not using the company for their own interest. Imagine the CEO cook the book, do you think he will admit to the auditor? Thus the subsequent action is to communicate the issue with the independent directors, if there is a strong case, the independent directors, especially the risk committee, should challenge the issue with the managing directors at the board level. If the managing director is the sole largest shareholder, usually it will end up the independent directors resigning, since there's nothing much they can do.

I had attended many such Audit Committee meetings at luxurious resort hotels 4 figures per night.

Auditing is dynamic and changing in line with dynamic world. SD has been dynamic from local projects to oversea projects and diversification of business from conventional oil and gas to IT venture even aviation and outer space programs etc.

The objective of the audit is very simple ie to ensure all the payables and receivables , fixed assets ,cash at bank etc reflected in the Balance sheets are verifiable beyond reasonable doubts. Where there is doubt in any of these components, the external auditors must raise the red flag.....There is nothing wrong for them to do so in discharge of their professionalism.

Audit approach is not necessarily the same every year. Further approaches may need to be taken to confirm the veracity of the transactions and reinforce audit assurance. There is nothing wrong with that .

in sebak, karim is the one who do the FRAUD accounting

Balance sheet does not balance is ok

What is not ok is the payables,receivables, fixed assets, inventory and cash at bank are not verifiable . If 50% of Balance values are not verifiable, meaning 50% is fake...

For SD , what is the % of real and the % of fake ? You should know better

In normal Bursa companies, the Audit Committee sits to

1) Approve the Proposed Audit Plan for the year.
2) Answer any Management Points Raised, ask queries, evaluate red flags, 3) Answer Management Letters, request more audit procedures if necessary.
4) Approve the Completion of Audit for the Year.

Management is never involved in any audit matters at all.
Serba is really a weird company, if management controls the audit process, this means all this reporting to management are either weird or pure lies and more lies.

Losers thinks if a company pays the auditor, then the auditor have a duty to audit it according to the company wishes. Then like this why sit at home? Everybody go set up a company and then tell their auditor their company got millions of projects and trillions of profit and quad trillion cash in then bank.

Then somemore say why auditor go report to independent directors. Hello, they are independent directors, not ceo. Independent directors are suppose to be some sort of check and balance in a board.

The way it goes, the most likely outcome now is for the company to be delisted like MAS to be put out of the limelight of Bursa and will undergo restructuring exercises.

if the existing shareholders are lucky, their share might be bought back by the company at certain price on the basis of " take it or leave it burned " It sounds like extortion , well thats the way it should be .

The 2 high calibre INEDs were supposed to be able to help SD in their lawsuit strategies.... but failed.. so they have no choice but to resign with some strong departing words....Karim and Kadier have no advisors now.... don't think they'll have court ruling in their favour... looks like AR won't be out this month too... the window to salvage themselves is closed.
