An accounting figure is past figure, you are associating the PAST figure to current development and neglected all improvement thus far. I saw all your explained is figures and the PAST truth financial facts. A fact is a fact, nothing more.
You keep telling fact (CAP-A financial very bad), followed by explanation from the fact (CAP-A figures how, PN17, very weak), then you opined CAP-A counter very bad and will pok gai anytime. To me, you are humble historian that shares PAST figures and FACTS only. If you are banker, you are at the right track for being risk adverse, but even Citibank is lending to CAP-A, so ~~~~~~

Myself, is associating the PAST figure to current development and all improvement thus far.
I can tell financial is bad but there is figure improvement, I saw new business formed and ready to expand, I associated the new alliance strategy with potential.
I am giving fact (CAP-A figure is improving) and explanation (evidence that debt / interest paid, revenue & cash coming), then conclusion (not a bad counter because improvement, future vision and CAP-A is making huge progress) this company will survive.

Haha the reason why Mabel put her money in PN17 Sapura Energy and Capital A is because she wants to be part of their turnaround journey. Capital A, who is the CEO? Sapura who is the CEO?

Here lies the differences:

One can start from Zero to be a Hero.
Satu lagi kena jual ini jual itu sampai Zero.

Let's see how these two CEO (Sapnrg and CapitalA) managed their turnaround. So far both of these PN17 Companies have been profitable and not a liability for Mabel to hold.

Coming to think of it it's prudent for Sapnrg to exit the EP game. It’s for big boys like Petronas, Shell, Aramco who have deep pockets and 20/30y ROI Horizons. Best for sapnrg to stick to EPCC business as they are not getting any support and time is running out of the Regulation Plan timeline.

This week, too many Big Boys especially the bankers are throwing Sap at 5 and 6...All chicken..Tengok Capital A this week shoot up despite tension between Iran and Israel with high oil price. Capital A climb while Sapnrg remains status quo.

Bottom line, no one want to touch Sap but willing to touch Capital A...

Looks like Tony seems to be better Magician than Anuar ...

AAX will swap their shares in AAX with shares of the NewCo — Airasia Group Sdn Bhd — on a one-to-one basis.

The NewCo will then acquire Capital A's aviation business — AirAsia Aviation Group Ltd (AAAGL) and AirAsia Bhd (AAB) — for RM6.8 billion. It will be issuing new shares worth RM3 billion in the NewCo to acquire AAAGL, while it will acquire AAB for RM3.8 billion, to be satisfied by assuming RM3.8 billion of the RM3.83 billion worth of debt that Capital A owes AAB.

My opinion:
Engineer work according to the law of physics and chemistry to create many wonders of the word.

Accountant can be very creative like magician giving the illusion of create money out of thin air.

But remember money do not fall from the sky. And according to our legal law if AAX/newco default on any debts transfer from capA then i'm afraid Stony and the whole BOD most likely will end up in jail for below offences:

The Companies Act 2016 (“CA 2016”) codifies a general duty on directors’ conduct of trading in a company close to the point of insolvency and any potential liabilities on that account. In broad terms, ‘insolvent trading’ may also be referred to as ‘wrongful trading’ and ‘fraudulent trading’.

Wrongful Trading
In the CA 2016, an offence of wrongful trading is captured in section 539(3) that:

“…an officer of the company who knowingly was a party to the contracting of a debt had, at the time the debt was contracted, no reasonable or probable ground of expectation, after taking into consideration the other liabilities, if any, of the company at the time, of the company being able to pay the debt, commits an offence…”

Fraudulent Trading
Whereas section 540(1) of the CA 2016 stipulates an offence of fraudulent trading as below:

“If it appears…that any business of the company has been carried on with intent to defraud the creditors of the company or creditors of any other person or for any fraudulent purpose, the Court may declare that any person who was knowingly a party to the carrying on of the business in that manner shall be personally responsible…”

If an offence under section 539(3) has been made out, offenders may be punishable with a maximum imprisonment of 5 years or a maximum fine of RM500,000, or both. Reading together with section 540 of the CA 2016, it is added that the offender may even bear personal liabilities for the payment of the whole or any part of the company’s debt without any limitation of liability upon a court’s declaration

The proposal cannot be interpret using accounting practices. This is corporate restructuring.
New entity AAG is created to replace AAX listing status.
AAG then group AAX(long haul), AAB(malaysia business), AAAGL(Asean exclude malaysia business) businesses into AAG control.
AAG will raise 1bil working capital from new investor.
So end results are
AAG become AA passenger airlines owner with new 1b fund to start new journey.
Capital A disposes passenger airlines business and the liabilities while still give existing shareholders assess to AAG through bonus shares. Capital A then focus on plane maintenance, digital travel platform, fintech, plane cargo logistics , etc business with a leaner liabilities.

So I rush in to buy CapA-LA at 0.78.

Accounting and business understanding of working capital is difference.
A reorganization need new fund to run a company for certain period to generate cash to first service the interest before looking at profit,
Bankers do not expect business to clear all debts if not how they make money?
Bank that does not hold debt cannot earn profit from interest servicing.
Ideal case for bankers is that a company is under debt with constant repayment of interest that run a business that has demand and sustainable.
budget passenger flight is always on demand.
