Quoting from Capital A’s analysts' briefing, Choo said the group plans to announce the details of its PN17 regularisation plan by mid-April 2023 with completion expected by the end of the third quarter of 2023.
“We gathered that the group plans to divest its aviation group to AirAsia X in exchange for shares for subsequent distribution to its shareholders,” Choo added
As at 31/12/2022
CapitalA net liabilities is RM (9,427,491,000) of which net current liabilities is RM (9,067,503,000)
So the only way for CapitallA to be out of PN17 is to transfer all above net liabilities to AAX. Am I right? Any comments?

We draw your attention to the sharp rise in price and volume of your Company’s shares recently (“trading activity”).
In light of the above and in order for investors to be able to make informed investment decisions, you are requested to respond, after making due enquiry with your directors, major shareholders and such other relevant persons, to the following queries immediately for public release in accordance with paragraph 9.11 of Listing Requirements :
1. Whether there is any corporate development relating to your Group’s business and affairs that has not been previously announced that may account for the trading activity including those in the stage of negotiation/discussion. If yes, kindly provide the details including status of the corporate development to enable investors to make informed investment decisions
2. Whether there is any rumour or report concerning the business and affairs of the Group that may account for the trading activity and in this respect, you are required to comply with Paragraphs 9.09 and 9.10 of Bursa Securities LR;
3. Whether you are aware of any other possible explanation to account for the trading activity; and
4. Whether you are in compliance with the Bursa Securities LR, in particular Paragraph 9.03 of the Bursa securities LR on immediate disclosure obligations.

We refer to Bursa Malaysia Securities Berhad’s (“Bursa Securities”) Unusual Market Activity query dated 17 March 2023 in relation to the sharp rise in price and volume of AirAsia X Berhad’s (“Company”) shares, the Board of Directors wishes to confirm that to the best of their knowledge and after having made due enquiries with the Directors, major shareholders and such other relevant persons, the following:
1) Whether there is any corporate development relating to your Group’s business and affairs that has not been previously announced that may account for the trading activity including those in the stage of negotiation/discussion. The Company and the appointed advisers are in the midst of formulating and/or evaluating the proposals to develop the Proposed Regularisation Plan to holistically restructure its business and financial condition pursuant to the Practice Note 17 of the Main Market Listing Requirements (“Bursa Securities LR”). Reference is made to the Company’s announcements dated 29 October 2021, 1 November 2021, 1 December 2021, 3 January 2022, 3 February 2022, 1 March 2022, 1 April 2022, 5 May 2022, 1 June 2022, 1 July 2022, 1 August 2022, 1 September 2022, 3 October 2022, 12 October 2022, 2 November 2022, 1 December 2022, 3 January 2023 and 2 February 2023 (“Announcements”).
(Unless otherwise stated, all abbreviations and terms used in this announcement shall have the same meanings as those defined in the Announcements.)
The Board of Directors wishes to announce that the Company and the appointed advisers are in the midst of formulating and/or evaluating the proposals to develop the Proposed Regularisation Plan to holistically restructure its business and financial condition.
Pursuant to the announcement dated 2 November 2022 in relation to the approval from Bursa Securities for the extension of time up to 28 April 2023 for the Company to submit its regularisation plan to the relevant regulatory authorities, the Company has approximately two (2) months to submit the Proposed Regularisation Plan to the relevant regulatory authorities for approval to implement the same.

If one adds the total trade of last 2 weeks, its more than the no of shars in issues and yet SC is so quiet about it!

Aax probably falls back to the same price like capita A, then share issued to capita A to ambil its airlines biz to resolve pn17 for both companies... Touch wood
Probably right issue for these companies that dilute existing shareholders greatly.. a big risk too

AAX is financially sound as it is. Any right issue is optional as it doesn’t need additional cash to run its operations normally. Issuance of new shares to pay for aviation biz from capital A will be sufficient to wipe off its accumulated losses. AAx needs no cash calls or creditor payments rescheduling in the upcoming reorganisation.
On the other hand capital A most certainly need to do a rights issue mayb around RM2-3b in conjunction with rescheduling of payment terms with lenders and creditors of around RM2-3b too, so that it can run its operations normally and that it’s accumulated losses can be wiped off.
Capital A and AAX is currently valued at RM3.5b combined. At its peak they two can generate RM2b net profit a year. The current market valuation is definitely not demanding.
Capital A doesn’t control aax. Each has very different shareholders. Their respective valuations for the purpose of share issuance by aax to capital A shareholders will have to reflect their respective existing financial conditions and future profitability.

Watch out for the crucial dates, on or before 28 April 2023, the deadline for submission of Regularisation plan for AAX. The possible outcomes are:
1. Extension of the plan for another date.
2. Regularisation plan submitted to the authorities.
Within these days from tomorrow trading may remain very active.
