Yes typically bonus issues do not create extra values to shareholders nor to the company.

But this round what YTL is proposing is a bonus warrants proposal. It is giving 1 free warrant to every 5 shares of YTL held. Shareholders can exercise the warrants anytime within 3 years by paying the exercise price of RM1.50 per warrant.

As the warrants will not be listed and non-tradeable, so they will not have any theoretical value (unlike tradeable warrants) and the mother share price will not get adjusted when the warrants entitlement goes ex.

The bonus warrant proposal is a reward to long term shareholders, as the exercise price (RM1.50) is set a huge discount to prevailing share price of YTL (around RM1.95) or a 44% discount to YTL share price of RM2.66 prior to the warrant announcement.

Let's take a share price of RM2.00 for calculations below.

If we have 5,000 shares of YTL at RM2.00 each, our holding value amounts to RM10,000. We need to fork out RM1,500 to exercise the 1,000 free warrants we shall receive later, so the total costs of investment will be RM11,500 and we shall have 6,000 shares of YTL after exercising the warrants. So, our average cost will be RM11,500/6,000 = RM1.92 per share, or a gain of 8 sen per share from the proposal.

If using the earlier share price of RM2.66, our total investment cost would have been RM2.66 x 5,000 + RM1,500 = RM14,800 and the average cost would have come down to RM14,800/6,000 = RM2.46 per share or a gain of 20 sen per share.

The warrant will dilute the earning per share at least in the short to medium term since the eps is based on the existing forecast on near term revenue. The fund generated from the warrant exercised wont be able to immediately generate revenue and increase the earnings to compensate for the additional shares issued. More shares but eps remains, so the market is forced to adjust the price lower even the PE multiple remains the same.

The fund raised from the warrant exercise will be used for future projects that are earnings accretive, I would expect so based on previous records of YTL's M&A activities.

YTL acquired quality assets at Bukit Bintang and Sentul land at a bargain price at the heights of Asian financial crisis in 1998, now each has turn into multi-billion assets which will appreciate further in value in future.

YTL acquired the Niseko land at a bargain price from Citigroup back in 2008 at just USD0.88 psf, the 1520 acre of prime resort land has gone up in value by over 30 times to USD30 psf in 2022.

YTL acquired the 380-acre Brabazon land for just GBP60m in 2016 and it is now worth GBP2.5 billion with a GDV of GBP6.5 billion.

I am optimistic of the opportunities that YTL bosses are seeing and preparing fresh funds for.

If tomorrow the company decides to do a 1-for-1 bonus issue
It will then have 2,000,000,000 shares in circulation
1 share will AUTOMATICALLY drop to RM0.50 on ex-date of the bonus issue
Its market cap is still RM1.0b (2,000,000,000 x RM0.50)

If someone were to tell you, "Wah, ABC is SUPPOSED to be a RM1.00 company, it's so CHEAP now at RM0.50, let's buy, goreng it back up to RM1.00!"
